Terms of Service
The terms governing access to and use of MX COMPANY applications, websites, technology platforms, and services.

1. Welcome to MX COMPANY
Welcome to MX COMPANY.
These Terms of Service ("Terms") constitute a legally binding agreement between you and MX COMPANY ("MX COMPANY," "we," "our," or "us") governing your access to and use of the MX COMPANY mobile applications, websites, software, technology platforms, APIs, customer support services, and all related products and services (collectively, the "Services").
Please read these Terms carefully before creating an account or using the Services.
By creating an account, accessing, or using the Services, you confirm that:
- You have read these Terms in their entirety
- You understand these Terms
- You agree to be legally bound by these Terms
- You agree to our Privacy Policy and any other policies incorporated into these Terms by reference
- If you do not agree to these Terms, you must not create an account or use the Services
2. Our Services
MX COMPANY is a technology company that develops and operates digital platforms connecting customers with independent service providers.
Depending on availability in your region, the Services may include:
- On-demand package delivery
- Scheduled package delivery
- Courier services
- Ride-hailing services
- Transportation services
- Business delivery solutions
- Multi-package delivery services
- Fleet management tools
- Digital wallet services
- Promotional programs
- Referral programs
- Customer support services
- Business accounts
- Future technology products introduced by MX COMPANY
MX COMPANY continually improves and expands its Services.
Not every feature described in these Terms will necessarily be available in every city or country.
MX COMPANY may introduce, modify, suspend, or discontinue Services at any time, subject to applicable law.
3. Nature of the Platform
MX COMPANY provides a technology platform.
Unless expressly stated otherwise, MX COMPANY is not:
- A transportation carrier
- A courier company
- A freight company
- A logistics carrier
- A moving company
- A common carrier
- An employer of drivers
- A franchise
- An insurance company
Drivers who provide transportation or delivery services through the platform generally operate as independent service providers and are responsible for complying with applicable laws governing their activities.
Nothing in these Terms creates an employment relationship, partnership, joint venture, or agency relationship between MX COMPANY and any driver unless expressly required by applicable law.
4. Acceptance of These Terms
By using the Services, you represent and warrant that:
- You are legally capable of entering into a binding agreement
- All information you provide is accurate and complete
- You will maintain accurate account information
- You will comply with these Terms
- You will comply with all applicable laws and regulations
If you are using the Services on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.
5. Eligibility
To use the Services, you must satisfy all eligibility requirements established by MX COMPANY.
Unless otherwise required by applicable law:
- You must be at least eighteen (18) years old or the age of majority in your jurisdiction, whichever is higher
- You must have the legal capacity to enter into binding contracts
- You must not be prohibited by applicable law from using the Services
- Your account must not have been previously suspended or terminated for violations of these Terms
- Additional eligibility requirements may apply to specific Services
6. Driver Eligibility
Individuals applying to provide services through the Driver App may be required to satisfy additional requirements before being approved.
Depending on applicable law and operational requirements, these may include:
- Valid government-issued identification
- Valid driver's license appropriate for the vehicle operated
- Vehicle registration documents
- Proof of insurance where required
- Vehicle inspection documentation where applicable
- Any licenses or permits required by law
- Successful identity verification
- Background verification where permitted by law
- Completion of onboarding requirements established by MX COMPANY
- Approval to use the Driver App is granted at the sole discretion of MX COMPANY, subject to applicable law
- Meeting minimum eligibility requirements does not guarantee approval
7. Account Registration
To access certain Services, you must create an MX COMPANY account.
During registration, you may be asked to provide:
- Full legal name
- Mobile telephone number
- Email address
- Password
- Profile photograph
- Government-issued identification where required
- Payment information
- Vehicle information (for drivers)
- Additional information reasonably necessary to provide the Services
- You agree that all registration information will be truthful, accurate, current, and complete
- Providing false, misleading, or fraudulent information constitutes a material breach of these Terms
8. Account Verification
MX COMPANY may require verification of your identity before allowing access to certain features.
Verification methods may include:
- SMS One-Time Password (OTP)
- WhatsApp verification
- Email verification
- Government-issued identification
- Selfie verification
- Driver document verification
- Additional authentication measures deemed reasonably necessary to protect users and the platform
MX COMPANY reserves the right to deny, suspend, or revoke access where verification cannot be completed or where fraudulent activity is reasonably suspected.
9. Account Security
You are solely responsible for maintaining the confidentiality and security of your account credentials.
You agree to:
- Keep your password confidential
- Protect your device from unauthorized access
- Immediately notify MX COMPANY of suspected unauthorized account activity
- Use only your own account
- Not share verification codes with others
- Not permit another person to access your account
- You are responsible for all activity occurring through your account unless applicable law provides otherwise
10. One Account Per Person
Unless expressly authorized by MX COMPANY in writing, each individual may maintain only one customer account and one driver account.
Creating multiple accounts to:
- Obtain promotional benefits
- Abuse referral programs
- Avoid account restrictions
- Circumvent suspensions
- Manipulate ratings
- Commit fraud; or
- Violate these Terms
- is strictly prohibited
MX COMPANY may merge, suspend, or permanently terminate duplicate accounts.
11. Business Accounts
Organizations may establish business accounts for employees or authorized representatives.
Business account administrators may have access to information relating to services requested through the business account, including:
- Delivery history
- Trip history
- Billing information
- Expense reports
- Invoice information
- Employee usage information, where applicable
- Business administrators are responsible for ensuring that authorized users comply with these Terms
12. Keeping Your Information Current
You agree to promptly update your account information whenever it changes.
This includes:
- Phone number
- Email address
- Payment method
- Vehicle information
- Driver documentation
- Mailing address where applicable
- Failure to maintain accurate information may result in interruptions to the Services or suspension of your account
13. Electronic Communications
By creating an account or using the Services, you consent to receive electronic communications from MX COMPANY relating to your use of the Services.
These communications may include:
- Account notifications
- Security alerts
- OTP verification messages
- Delivery updates
- Ride updates
- Payment confirmations
- Customer support communications
- Policy updates
- Service announcements
- Marketing communications where permitted by law and subject to your preferences
- Electronic communications satisfy any legal requirement that communications be provided in writing, to the extent permitted by applicable law
14. Changes to the Services
MX COMPANY continually improves its platform and may:
- Introduce new features
- Modify existing features
- Improve functionality
- Remove outdated functionality
- Change pricing models
- Introduce new payment methods
- Expand into new service categories
- Suspend features temporarily for maintenance or security reasons
We will make reasonable efforts to notify users of material changes where appropriate, but uninterrupted availability of every feature is not guaranteed.
15. Changes to These Terms
MX COMPANY may revise these Terms from time to time to reflect changes in law, technology, security practices, or our Services.
When material changes are made, we may notify users through:
- In-app notifications
- Website notices; or
- Other reasonable methods
- The updated Terms become effective on the Effective Date specified at the beginning of the revised version
Continued use of the Services after the Effective Date constitutes acceptance of the revised Terms, except where applicable law requires additional consent.
16. Customer Responsibilities
Customers are responsible for using the Services lawfully, honestly, and respectfully.
By requesting any service through MX COMPANY, you agree to:
- Provide accurate pickup and delivery information
- Provide accurate contact information
- Be available at the pickup location within a reasonable time
- Ensure the recipient is available where required
- Follow all applicable laws
- Treat drivers with courtesy and respect
- Refrain from threatening, abusive, discriminatory, or violent behavior
- Pay all applicable charges
- Cooperate during delivery or transportation services
- Promptly report any safety concerns or accidents
- You remain responsible for the accuracy of all information you submit through the Services
17. Delivery Requests
Customers are responsible for ensuring that delivery requests are accurate before confirming an order.
You are responsible for providing:
- Correct pickup address
- Correct drop-off address
- Accurate recipient information where applicable
- Appropriate contact telephone numbers
- Delivery instructions
- Any access codes or entry instructions necessary to complete the delivery
If incorrect information results in delays, failed deliveries, additional travel, or additional operational costs, additional charges may apply where permitted by applicable law.
18. Transportation Requests
When requesting transportation services through MX COMPANY, you agree to:
- Be present at the pickup location at the scheduled time
- Enter and exit the vehicle safely
- Wear a seatbelt where required by law
- Follow lawful instructions relating to safety
- Respect the driver's vehicle and property
- Avoid conduct that interferes with safe driving
- Customers must not request drivers to violate traffic laws or operate vehicles in an unsafe manner
19. Package Requirements
Customers are solely responsible for ensuring that packages submitted for delivery comply with applicable laws and these Terms.
Packages must:
- Be lawfully owned or possessed by the sender
- Be properly packaged
- Be suitable for transportation
- Not present an unreasonable safety risk
- Be accurately described where required
- Customers remain responsible for the contents of all packages, even if the contents are not inspected by MX COMPANY or the driver
20. Prohibited Items
Unless expressly authorized by MX COMPANY or required by applicable law, customers may not use the Services to transport or deliver:
- Illegal drugs or controlled substances
- Stolen property
- Firearms or ammunition where prohibited by law
- Explosives or fireworks
- Hazardous chemicals
- Toxic materials
- Radioactive materials
- Human remains
- Live animals, except where specifically permitted
- Counterfeit goods
- Fraudulent documents
- Items intended for unlawful activities
- Any item prohibited by applicable law
MX COMPANY reserves the right to refuse or cancel any request that reasonably appears to involve prohibited items.
Drivers may also refuse transportation of prohibited items where doing so is reasonably necessary to protect safety or comply with the law.
21. Package Inspection
To protect users and comply with applicable law, MX COMPANY reserves the right, where legally permitted, to request reasonable verification of package contents when fraud, safety concerns, or unlawful activity is reasonably suspected.
MX COMPANY does not routinely inspect packages.
Drivers are generally not required to inspect package contents unless:
- Required by law
- Requested by law enforcement acting within legal authority
- Necessary to protect health or safety
- Necessary to investigate suspected fraud or misuse of the Services
22. Restricted Deliveries
Certain categories of deliveries may require additional verification, age confirmation, or compliance with applicable law.
MX COMPANY may refuse or limit deliveries involving regulated goods or services where appropriate.
Availability of restricted delivery services varies by jurisdiction and applicable legal requirements.
23. Pickup Responsibilities
Customers are responsible for ensuring that:
- The package is ready before requesting pickup
- The pickup location is reasonably accessible
- Necessary security or building access has been arranged
- The driver can safely stop where permitted by law
- Drivers are not required to park illegally, enter restricted areas, or place themselves at unnecessary risk to complete a pickup
24. Recipient Responsibilities
Where a recipient is designated, the customer is responsible for ensuring that the recipient:
- Is available to receive the package
- Can be contacted if necessary
- Has been informed of the expected delivery
If delivery cannot be completed because the recipient is unavailable, additional fees or return procedures may apply in accordance with MX COMPANY's applicable policies.
25. Failed Deliveries
A delivery may be considered unsuccessful if, despite reasonable efforts:
- The recipient cannot be contacted
- The address provided is incorrect
- Access to the location is unavailable
- Delivery would be unsafe
- Delivery would violate applicable law
- The package cannot be lawfully delivered
- Where operationally feasible, MX COMPANY may attempt to contact the customer before determining that a delivery has failed
- Additional charges may apply for return deliveries or repeated delivery attempts
26. Customer Conduct
Users must behave respectfully toward drivers, Customer Support personnel, and other users.
You agree not to:
- Threaten anyone
- Harass anyone
- Intimidate anyone
- Use discriminatory language
- Use hate speech
- Engage in physical violence
- Damage vehicles
- Damage packages
- Damage company property
- Interfere with deliveries
- Encourage unlawful conduct
MX COMPANY maintains a zero-tolerance policy toward violence, credible threats of violence, and unlawful harassment on the platform.
Serious violations may result in immediate suspension or permanent termination of your account.
27. Alcohol, Drugs, and Impairment
Customers must not use the Services in a manner that creates an unreasonable safety risk due to intoxication or impairment.
Drivers may decline or terminate a transportation service if a customer's conduct presents a legitimate safety concern, subject to applicable law.
Nothing in this section permits discrimination on the basis of disability or any other protected characteristic.
28. Fraudulent Activity
Customers may not engage in fraudulent or deceptive conduct, including:
- Creating fake accounts
- Using false identities
- Submitting false payment information
- Abusing promotional offers
- Manipulating referral programs
- Filing false complaints
- Falsely reporting undelivered packages
- Attempting to manipulate fares
- Misrepresenting package contents
- Attempting to obtain unauthorized refunds
MX COMPANY may investigate suspected fraud and take appropriate action, including account suspension, recovery of improperly obtained funds, and referral to law enforcement where warranted.
29. Communications with Drivers
Customers may communicate with drivers only for purposes reasonably related to the requested service.
Contact information provided through the platform must not be used to:
- Send unsolicited advertisements
- Harass drivers
- Make repeated unwanted contact after completion of a service
- Solicit drivers to bypass the MX COMPANY platform
- Engage in unlawful activity
- To protect privacy, MX COMPANY may limit or anonymize certain communications where technically feasible
30. Ratings and Reviews
Customers may rate drivers and provide feedback based on their genuine experience.
Reviews must:
- Be truthful
- Be based on firsthand experience
- Not contain abusive, defamatory, or discriminatory content
- Not include confidential information
- Not contain threats or unlawful content
MX COMPANY reserves the right to remove reviews that violate these Terms or applicable law.
31. Lost Property
Customers are responsible for ensuring that they have collected all personal belongings before leaving a vehicle or completing a delivery interaction.
If property is left behind, MX COMPANY may assist in facilitating communication between the customer and the driver but does not guarantee recovery of lost items.
Neither MX COMPANY nor drivers are responsible for loss or damage to unattended personal property except as required by applicable law.
Reasonable fees may apply for the return of lost property where permitted by law.
32. Service Availability
MX COMPANY does not guarantee that:
- Drivers will always be available
- Every delivery request will be accepted
- Every transportation request will be fulfilled
- Estimated arrival times will be exact
- Services will be continuously available without interruption
- Availability depends on numerous factors, including:
- Driver availability
- Weather conditions
- Traffic
- Road closures
- Technical issues
- Network connectivity
- Public emergencies
- Regulatory restrictions
- Other circumstances beyond MX COMPANY's reasonable control
MX COMPANY will make commercially reasonable efforts to provide reliable Services but cannot guarantee uninterrupted or error-free operation.
33. Driver Relationship with MX COMPANY
Drivers who provide transportation, delivery, or other services through the MX COMPANY platform do so as independent service providers unless applicable law determines otherwise.
Nothing in these Terms shall be interpreted as creating:
- An employment relationship
- A partnership
- A joint venture
- An agency relationship
- A franchise relationship
Drivers are responsible for determining how, when, and where they make themselves available on the platform, subject to these Terms and the operational requirements of the Services.
Nothing in this section limits any rights or obligations that cannot legally be waived under applicable law.
34. Driver Responsibilities
Drivers agree to:
- Comply with these Terms
- Comply with all applicable laws and regulations
- Maintain all legally required licenses and permits
- Maintain accurate account information
- Conduct themselves professionally
- Treat customers respectfully
- Protect customer privacy
- Complete accepted requests diligently
- Report accidents or safety incidents promptly
- Maintain the condition of approved vehicles
- Cooperate with legitimate investigations conducted by MX COMPANY
- Drivers remain responsible for their own conduct while using the Services
35. Driver Availability
Drivers decide when to make themselves available by going online or offline within the Driver App.
However, once a driver voluntarily accepts a request, the driver is expected to complete the requested service unless cancellation is permitted under these Terms or required for safety, legal compliance, or other legitimate reasons.
Repeated acceptance followed by cancellation may affect access to the platform as described in these Terms.
36. Driver Account Security
Drivers are responsible for safeguarding access to their Driver App account.
Drivers must not:
- Share their account with another individual
- Permit another person to complete services using their account
- Use another driver's account
- Circumvent authentication measures
- Share One-Time Passwords (OTPs)
- Allow unauthorized access to the Driver App
- Drivers are responsible for all activity conducted through their account unless otherwise required by applicable law
37. Vehicle Requirements
Drivers must ensure that every vehicle used on the MX COMPANY platform:
- Is legally registered where required
- Is roadworthy
- Is maintained in safe operating condition
- Meets applicable regulatory requirements
- Displays any legally required registration or identification
- Meets the vehicle category selected within the Driver App
- Drivers must promptly update vehicle information whenever changes occur
MX COMPANY may request updated documentation at any time to verify continued eligibility.
38. Driver Conduct
Drivers are expected to provide professional service at all times.
Drivers must not:
- Threaten customers
- Harass customers
- Discriminate against customers
- Use abusive language
- Engage in violence
- Operate while impaired by alcohol or illegal drugs
- Request unauthorized payments
- Demand tips
- Misrepresent completed deliveries
- Falsify trip information
- Transport prohibited items knowingly
- Engage in fraudulent conduct
- Drivers are expected to exercise reasonable judgment and courtesy while providing Services
39. Safe Driving
Drivers must comply with all applicable traffic laws and road safety regulations.
Drivers must not:
- Operate a vehicle recklessly
- Exceed speed limits
- Use a handheld mobile device where prohibited by law
- Ignore traffic control devices
- Operate an unsafe vehicle
- Continue driving when medically unfit or dangerously fatigued
- Drivers remain solely responsible for the safe operation of their vehicles
40. Customer Safety
Drivers are expected to prioritize customer safety throughout every trip or delivery.
Drivers should:
- Verify pickup information where appropriate
- Follow safe navigation practices
- Use reasonable care when handling packages
- Ensure deliveries are completed responsibly
- Report emergencies when appropriate
- Avoid unnecessary risks
Drivers may refuse or terminate a service where continuing would create a legitimate safety risk, violate applicable law, or expose the driver or others to imminent danger.
41. Package Handling
Drivers agree to exercise reasonable care while transporting packages.
Drivers must not intentionally:
- Damage packages
- Tamper with packages
- Open sealed packages
- Remove package contents
- Delay deliveries for personal reasons
- Drivers are expected to transport packages in a manner appropriate for their size, weight, and characteristics
- Drivers are not responsible for concealed defects in packaging that could not reasonably have been discovered during ordinary handling
42. Delivery Confirmation
Drivers may be required to confirm completion of deliveries using features provided within the Driver App.
Confirmation methods may include:
- Delivery photographs
- Customer confirmation
- Recipient signature where available
- GPS confirmation
- Time-stamped completion records
- Other verification methods introduced by MX COMPANY
- Drivers must provide truthful completion information
- Knowingly submitting false delivery confirmations constitutes a material breach of these Terms
43. Communication with Customers
Drivers may communicate with customers only to facilitate the requested service.
Drivers must not:
- Contact customers for unrelated purposes
- Solicit business outside the MX COMPANY platform
- Send unsolicited promotional messages
- Harass customers
- Continue contacting customers after completion of a service unless reasonably necessary to resolve an issue
- Customer contact information remains confidential and may be used only for purposes directly related to the requested service
44. Acceptance and Cancellation Rates
MX COMPANY may monitor operational performance indicators, including:
- Acceptance rate
- Cancellation rate
- Completion rate
- Customer feedback
- Reliability
- Safety-related incidents
- These metrics help maintain service quality and improve the customer experience
Drivers are not required to maintain a specific acceptance rate unless separately communicated through applicable policies. However, consistently poor performance, excessive cancellations after acceptance, repeated no-shows, or conduct that negatively affects the reliability of the platform may result in coaching, temporary restrictions, or suspension, subject to applicable law.
45. Driver Earnings
Drivers earn compensation in accordance with the pricing model applicable to the services they complete.
Driver earnings may include:
- Base compensation
- Distance-based compensation
- Time-based compensation where applicable
- Incentive payments
- Promotional bonuses
- Referral rewards
- Tips provided voluntarily by customers where available
Applicable commissions, taxes, fees, chargebacks, or other authorized deductions may be applied before payout, consistent with applicable law and the Driver Agreement.
Drivers will have access to an earnings summary through the Driver App or another designated platform.
46. Cash Collection and Driver Wallet
Where cash payments are supported, drivers may collect payment directly from customers on behalf of MX COMPANY.
Drivers agree to:
- Accurately collect the amount displayed in the Driver App
- Not request unauthorized additional payments
- Maintain accurate records where required
- Remit amounts owed to MX COMPANY in accordance with applicable policies
- Cooperate in resolving payment discrepancies
If the Driver App includes a wallet or account balance feature, drivers are responsible for monitoring their balance and complying with any applicable settlement requirements.
To protect the integrity of the platform, MX COMPANY may temporarily restrict a driver's ability to receive new requests if the driver's outstanding balance exceeds limits established in applicable policies. Drivers will be informed of such restrictions through the Driver App or other appropriate communication channels.
47. Driver Ratings and Performance
Customers may rate drivers after completion of services.
Ratings may be considered together with other objective indicators, including safety reports, completion history, and customer complaints, when evaluating overall platform performance.
No single customer rating will automatically result in suspension or termination.
Where appropriate, MX COMPANY may provide educational resources, coaching, or opportunities for improvement before taking adverse action, except in cases involving serious misconduct, fraud, violence, or other significant safety concerns.
48. Accidents and Incidents
Drivers must report significant incidents involving the Services as soon as reasonably practicable.
Examples include:
- Traffic accidents
- Personal injuries
- Vehicle damage affecting safety
- Lost packages
- Stolen packages
- Criminal activity
- Threats of violence
- Serious customer disputes
- Drivers should also cooperate with insurance providers, emergency responders, and lawful governmental authorities where required
- Reporting an incident does not constitute an admission of liability
49. Compliance with Laws
Drivers remain solely responsible for complying with all laws applicable to their operations, including those relating to:
- Driver licensing
- Vehicle registration
- Insurance
- Road safety
- Taxes
- Employment or self-employment obligations
- Transportation regulations
- Delivery regulations
- Nothing in these Terms relieves drivers of responsibilities imposed by applicable law
50. Right to Suspend or Remove Driver Access
MX COMPANY may suspend, restrict, or terminate a driver's access to the Driver App where reasonably necessary to:
- Protect customer safety
- Protect other drivers
- Investigate fraud
- Investigate serious complaints
- Prevent misuse of the platform
- Comply with legal obligations
- Enforce these Terms
Where appropriate and consistent with safety and legal requirements, MX COMPANY will provide notice of the reason for the action and an opportunity to respond or appeal through procedures established by the company.
Immediate suspension may occur without prior notice where there is a reasonable belief of imminent harm, fraud, criminal activity, or other circumstances requiring urgent action.
51. Pricing
The price displayed before a customer confirms a request is generally an estimate or fixed price based on the information available at the time the request is made.
The final amount charged may differ if:
- The pickup location changes
- The destination changes
- Additional stops are added
- Waiting time exceeds the amount included in the service
- The service type is changed
- The package details provided are inaccurate
- Additional services are requested
- Applicable taxes or government-imposed fees change
- A pricing error is identified and corrected before payment is completed
MX COMPANY will make reasonable efforts to display pricing clearly before a request is confirmed.
52. Dynamic Pricing
To improve service availability during periods of unusually high demand or limited driver availability, MX COMPANY may apply dynamic pricing.
Dynamic pricing may be influenced by factors such as:
- Demand for services
- Number of available drivers
- Traffic conditions
- Weather conditions
- Public events
- Road closures
- Emergency situations
When dynamic pricing applies, the applicable price or pricing multiplier will be displayed to the customer before the request is confirmed whenever reasonably practicable.
53. Accepted Payment Methods
Depending on your location and the Services available, MX COMPANY may accept one or more of the following payment methods:
- Mobile Money
- Debit cards
- Credit cards
- Digital wallets
MX COMPANY Wallet;
Cash, where available;
Other payment methods introduced by MX COMPANY.
Not all payment methods are available in every country or for every type of service.
54. Payment Authorization
By submitting a payment method, you authorize MX COMPANY and its authorized payment service providers to:
- Verify your payment method
- Charge the applicable amount
- Process adjustments permitted by these Terms
- Process refunds where applicable
- Collect unpaid balances lawfully owed
- Recover chargebacks where permitted by law
- You represent that you are authorized to use every payment method associated with your account
55. MX COMPANY Wallet
MX COMPANY may offer a digital wallet to eligible users.
The Wallet may be used for purposes including:
- Paying for eligible services
- Receiving refunds
- Receiving promotional credits
- Receiving referral rewards
- Other approved uses introduced by MX COMPANY
- Wallet balances:
- Are not bank accounts
- Are not deposit accounts
- Do not earn interest unless required by applicable law
- May not be redeemable for cash except where required by law or expressly permitted by MX COMPANY
- Wallet availability may vary by country
56. Wallet Security
Users are responsible for protecting access to their Wallet.
MX COMPANY may temporarily restrict Wallet access where reasonably necessary to:
- Investigate fraud
- Protect account security
- Comply with legal obligations
- Resolve payment disputes

57. Cash Payments
Where cash payments are supported:
- Customers agree to pay the exact amount displayed within the application whenever reasonably possible
- Drivers agree to:
- Collect only the amount authorized by MX COMPANY
- Not demand additional unauthorized payments
- Not refuse lawful payment methods accepted for the request
- Accurately record completed cash transactions
- Cash collection procedures may vary depending on the country of operation
58. Driver Settlement
Drivers who collect cash on behalf of MX COMPANY may owe amounts to MX COMPANY representing commissions, service fees, or other authorized deductions.
Settlement procedures may include:
- Automatic deductions from driver earnings
- Wallet adjustments
- Future payout deductions
- Other settlement methods communicated by MX COMPANY
- Drivers remain responsible for amounts lawfully owed to MX COMPANY
59. Outstanding Balances
If a customer or driver has an outstanding balance, MX COMPANY may, to the extent permitted by applicable law:
- Request immediate payment
- Offset the balance against available Wallet funds
- Offset the balance against future eligible payouts or credits
- Restrict access to certain Services until the balance is resolved
- Pursue lawful collection efforts
- Nothing in this section limits any rights or remedies available under applicable law
60. Cancellations
Customers may cancel a request before it has been completed.
Depending on the circumstances, a cancellation fee may apply.
Factors considered may include:
- Whether a driver has already accepted the request
- Distance already travelled by the driver
- Time spent traveling to the pickup location
- Time spent waiting
- Operational costs already incurred
- Cancellation fees, where applicable, will be disclosed in accordance with applicable law
61. Driver Cancellations
Drivers may cancel accepted requests only for legitimate reasons, including:
- Safety concerns
- Customer no-show after any applicable waiting period
- Incorrect pickup information
- Vehicle breakdown
- Medical emergency
- Dangerous road conditions
- Suspected unlawful activity
- Other circumstances making completion of the request unreasonable or unsafe
- Repeated cancellations without legitimate justification may result in restrictions as described elsewhere in these Terms
62. No-Show Policy
If a customer is unavailable after the applicable waiting period communicated through the Services, the request may be cancelled.
Where permitted by law, the customer may be charged an applicable no-show fee.
Drivers are expected to make reasonable efforts to notify the customer through the communication features provided by the platform before reporting a no-show.
63. Refunds
Refunds are considered on a case-by-case basis.
Refunds may be issued where appropriate, including:
- Duplicate charges
- Unauthorized transactions
- Verified technical errors
- Services not provided as requested
- Billing errors
- Other circumstances determined by MX COMPANY
- Refunds are not guaranteed simply because a customer is dissatisfied with the outcome of a service
- Refunds may be denied where the evidence reasonably indicates that the service was substantially provided as requested
64. Promotional Credits
MX COMPANY may provide promotional credits from time to time.
Unless otherwise stated:
- Promotional credits have no cash value
- Promotional credits are non-transferable
- Promotional credits may expire
- Promotional credits may only be used for eligible services
- Promotional credits may not be sold or exchanged
MX COMPANY reserves the right to modify or discontinue promotional programs at any time, subject to applicable law.
65. Referral Program
MX COMPANY may operate customer and driver referral programs.
Participation is voluntary.
Referral rewards may be conditioned upon requirements established by MX COMPANY, such as:
- Successful account registration
- Completion of qualifying services
- Compliance with applicable policies
- Verification of eligibility
Referral rewards may be withheld, cancelled, or reversed where fraud, abuse, duplicate accounts, or violations of these Terms are reasonably suspected.
66. Taxes
Customers are responsible for paying any taxes, duties, or governmental charges applicable to their use of the Services, unless such amounts are expressly included in the displayed price.
Drivers remain responsible for determining and satisfying their own tax obligations arising from compensation earned through the platform, except to the extent MX COMPANY is legally required to collect, withhold, or remit taxes on their behalf.
67. Chargebacks and Payment Disputes
If a payment is reversed through a chargeback, payment dispute, or similar process, MX COMPANY may investigate the transaction.
Where appropriate and permitted by law, MX COMPANY may:
- Request additional information
- Suspend Wallet functionality
- Suspend access to certain Services
- Recover improperly reversed amounts
- Contest fraudulent chargebacks
- Users agree to cooperate in resolving payment disputes in good faith
68. Pricing Errors
Although MX COMPANY strives for accuracy, pricing errors may occasionally occur.
If a pricing error is identified before completion of a transaction, MX COMPANY may:
- Correct the error
- Notify the customer
- Allow the customer to accept the corrected price; or
- Cancel the affected request without penalty
- Nothing in this section limits rights granted under applicable consumer protection laws
69. Currency
All prices displayed within the Services are shown in the currency designated for the applicable country or region.
Where currency conversion is offered, exchange rates may be determined by payment providers or financial institutions and may include applicable fees outside the control of MX COMPANY.
70. Receipts and Transaction Records
Electronic receipts may be issued following completion of eligible transactions.
Receipts may include:
- Date and time of service
- Pickup and destination information, where appropriate
- Amount charged
- Payment method
- Taxes or fees, where applicable
- Transaction reference number
- Customers and drivers are encouraged to retain receipts for their own records
- Electronic transaction records maintained by MX COMPANY are presumed accurate unless demonstrated otherwise by reliable evidence
71. Financial Compliance
MX COMPANY reserves the right to implement reasonable financial controls designed to:
- Prevent fraud
- Detect money laundering
- Comply with sanctions and anti-corruption laws
- Protect the integrity of the platform
- Meet regulatory obligations
- Users may be asked to provide additional information where reasonably necessary to satisfy legal or regulatory requirements
Failure to provide requested information may result in temporary restrictions or suspension of affected financial features until verification is completed.
72. Intellectual Property
Unless otherwise stated, the Services and all related content are owned by or licensed to MX COMPANY and are protected by applicable intellectual property laws.
This includes, without limitation:
- The MX COMPANY name
- Logos
- Trademarks
- Service marks
- Software
- Source code
- Object code
- User interface designs
- Graphics
- Icons
- Images
- Videos
- Text
- Databases
- APIs
- Algorithms
- Navigation systems
- Pricing models
- Documentation
- Marketing materials
- Other proprietary technology
- Nothing in these Terms transfers ownership of any intellectual property rights to you
Subject to your compliance with these Terms, MX COMPANY grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for their intended purpose.
73. Restrictions on Use
Except as expressly permitted by applicable law or with MX COMPANY's prior written consent, you must not:
- Copy the Services
- Modify the Services
- Reverse engineer the Services
- Decompile the Services
- Disassemble the Services
- Create derivative works
- Remove copyright notices
- Circumvent security features
- Interfere with the operation of the platform
- Access systems without authorization
- Introduce malware or malicious code
- Use automated tools to scrape or harvest data
- Use the Services to build or train competing products without authorization
- Violation of this section may result in immediate suspension or termination of your account and may expose you to legal liability
74. User Content
Users may submit content through the Services, including:
- Reviews
- Ratings
- Profile photographs
- Delivery photographs
- Support requests
- Feedback
- Comments
- Suggestions
- Other materials
- You retain ownership of the content you create
However, by submitting content through the Services, you grant MX COMPANY a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, store, display, modify (only as reasonably necessary for formatting or technical purposes), distribute, and otherwise process that content for purposes including:
- Operating the Services
- Providing customer support
- Investigating complaints
- Preventing fraud
- Improving platform functionality
- Marketing the Services, provided identifiable personal information is not used without an appropriate legal basis or your permission where required
- You represent that you have the legal right to submit any content you upload
75. Feedback
If you provide suggestions, recommendations, ideas, or feedback relating to the Services, you agree that MX COMPANY may use such feedback without restriction or obligation to compensate you.
This provision does not transfer ownership of your Personal Information and does not override the commitments made in our Privacy Policy.
76. Service Availability
MX COMPANY strives to provide reliable Services but does not guarantee that the Services will always be available or uninterrupted.
Service interruptions may occur due to:
- Scheduled maintenance
- Emergency maintenance
- Internet outages
- Mobile network failures
- Power interruptions
- Cybersecurity incidents
- Third-party service failures
- Government actions
- Force majeure events
- Other circumstances beyond our reasonable control
- We will make commercially reasonable efforts to restore affected Services as quickly as practicable
77. Third-Party Services
Certain features of the Services rely upon third-party products or services.
These may include:
- Mobile Money providers
- Banks
- Payment processors
- Mapping providers
- Cloud hosting providers
- Authentication providers
- Push notification services
- Analytics providers
- SMS providers
- WhatsApp messaging providers
MX COMPANY is not responsible for the availability, performance, security, or policies of independent third-party services.
Your use of those services may also be governed by the terms and privacy policies of the applicable third party.
78. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.
MX COMPANY does not guarantee that:
- The Services will always be uninterrupted
- The Services will always be error-free
- Every request will be matched with a driver
- Every delivery will occur within estimated times
- Every destination will be reachable
- Every third-party service will function correctly
- Nothing in this section excludes warranties that cannot lawfully be excluded under applicable law
79. Limitation of Liability
To the fullest extent permitted by applicable law, MX COMPANY shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to the use of the Services, including but not limited to:
- Loss of profits
- Loss of business opportunities
- Loss of goodwill
- Loss of anticipated savings
- Loss of data
- Business interruption
- Nothing in these Terms excludes or limits liability for:
- Death or personal injury caused by negligence where such liability cannot legally be excluded
- Fraud or fraudulent misrepresentation
- Gross negligence or willful misconduct where exclusion is prohibited
- Any liability that cannot lawfully be excluded or limited
- Where permitted by applicable law, MX COMPANY's total aggregate liability arising from a single claim shall not exceed the greater of:
- The total amount paid by the customer to MX COMPANY for the affected transaction; or
- An amount equivalent to one hundred United States Dollars (USD $100)
- This limitation does not apply where prohibited by applicable law
80. Indemnification
You agree to indemnify, defend, and hold harmless MX COMPANY, its directors, officers, employees, affiliates, licensors, contractors, and agents from and against claims, liabilities, damages, losses, judgments, costs, and reasonable legal expenses arising out of or relating to:
- Your violation of these Terms
- Your misuse of the Services
- Your violation of applicable law
- Your infringement of another person's rights
- Content submitted by you
- Fraudulent or unlawful conduct attributable to you
- This obligation applies only to the extent permitted by applicable law
81. Force Majeure
MX COMPANY shall not be responsible for delays or failures to perform obligations caused by events beyond our reasonable control, including:
- Natural disasters
- Floods
- Fires
- Epidemics or pandemics
- War
- Terrorism
- Civil unrest
- Government restrictions
- Power failures
- Telecommunications failures
- Internet outages
- Labor disputes
- Cybersecurity attacks
- Other force majeure events
- Performance shall resume as soon as reasonably practicable after the relevant event has ended
82. Suspension and Termination
MX COMPANY may suspend, restrict, or terminate access to the Services where reasonably necessary to:
- Protect users
- Protect drivers
- Protect employees
- Investigate fraud
- Investigate unlawful conduct
- Enforce these Terms
- Comply with legal obligations
- Protect the security or integrity of the platform
Where appropriate and consistent with safety and legal requirements, users may be given notice of the reason for the action and an opportunity to respond.
Termination of an account does not extinguish obligations that accrued before termination, including outstanding payment obligations.
83. Dispute Resolution
MX COMPANY encourages users to contact Customer Support before pursuing formal legal action.
We will make reasonable efforts to resolve disputes promptly and fairly.
If a dispute cannot be resolved informally, it shall be resolved through the courts or other dispute resolution mechanisms having jurisdiction under applicable law, unless the parties agree to an alternative method of dispute resolution.
Nothing in these Terms limits any mandatory consumer rights or legal remedies that cannot be waived under applicable law.
84. Governing Law
These Terms shall be governed by the laws applicable to MX COMPANY's operations, without prejudice to any mandatory legal protections available to consumers under the laws of their country of residence where those protections apply.
85. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court or other competent authority, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall continue in full force and effect.
86. No Waiver
Failure by MX COMPANY to enforce any provision of these Terms shall not constitute a waiver of that provision or any other right.
Any waiver must be made expressly and in writing by an authorized representative of MX COMPANY.
87. Assignment
You may not assign or transfer your rights or obligations under these Terms without MX COMPANY's prior written consent.
MX COMPANY may assign or transfer its rights and obligations in connection with a merger, acquisition, corporate restructuring, sale of assets, financing transaction, or other lawful business transaction, subject to applicable law.
88. Entire Agreement
These Terms, together with the Privacy Policy and any additional policies or agreements expressly incorporated by reference, constitute the entire agreement between you and MX COMPANY concerning your use of the Services.
They supersede all prior understandings, communications, or agreements relating to the same subject matter.

90. Effective Date

Continued use of the Services following publication of updated Terms constitutes acceptance of those updated Terms to the extent permitted by applicable law.
